By-Laws
This Corporation is a nonprofit mutual benefit corporation organized under the California Nonprofit Mutual Benefit Corporation Law. The purpose of the Corporation is to engage in any lawful act or activity for which a corporation may be organized under such law. A California Nonprofit Mutual Benefit Corporation.
The principal office of the Corporation may be fixed and located at such place or places as the Board of Directors (the “Board”) may specify. The Board may, at any time, change any such office from one location to another or establish branch or subordinate offices.
Section 1. Purposes.
This Corporation is a nonprofit mutual benefit corporation organized under the California Nonprofit Mutual Benefit Corporation Law. The purpose of the Corporation is to engage in any lawful act or activity for which a corporation may be organized under such law. Without limiting the generality of the foregoing, the specific purposes of the Corporation shall be:
1.To operate and represent a society of persons interested in the innovative treatment of cerebrovascular and other neurological disease.
2.To foster cooperation among specialists and sub-specialists who are involved in the interventional treatment of neurological disorders.
3.To foster scientific research in the field of cerebrovascular and interventional neurology through internal collaboration and collaboration with other groups.
To raise awareness and disseminate knowledge concerning developments in vascular and interventional neurology by promoting, conducting, and supporting teaching activities for the public, physicians, and scientists interested in vascular and
interventional neurology. Such activities include but are not restricted to developing public educational resources, arranging professional meetings for the presentation and discussion of papers and practical workshops dealing with such developments.
4.To promote and improve the training of vascular and interventional neurology in teaching programs in collaboration with other organizations.
5.To address practical issues faced by specialists and sub-specialists who are involved in the interventional treatment of neurological disorders.
The Corporation is founded for the benefit of all vascular and interventional neurologists or those having an interest in the science or practice of vascular or interventional neurology.
Section 2. Limitations.
Notwithstanding any other provision of these Bylaws, the Corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purposes for which the Corporation is organized as herein set forth. The Corporation shall not carry on any other activities not permitted to be carried on by a corporation exempt from federal income tax under Section 501(c)(6) of the Internal Revenue Code of 1986.
Section 1. Classes and Qualifications of Members.
(a) Classes. The Corporation shall have 3 classes of members, designated as “senior members,” “junior members” and “associate members”.
(b) Qualifications for Senior Membership. An individual shall be eligible to be a senior member if he or she demonstrates that he or she is dedicated to the purposes of this Corporation by:
(1) having completed training as a vascular or interventional neurologist;
(2) receiving approval of the membership application by the board; and
(3) paying such dues and fees as the Board may fix from time to time.
(c) Qualifications for Junior Membership. An individual shall be eligible to be a junior member if he or she demonstrates that he or she is dedicated to the purposes of this Corporation by:
(1) training as a vascular or interventional neurologist;
(2) receiving approval of the membership application by the board; and
(3) paying such dues and fees as the Board may fix from time to time.
